Algemene Voorwaarden van de FotografenFederatie
d.d. 26 mei 2005
1. Definities
In deze Algemene Voorwaarden wordt verstaan onder:
Aw: Auteurswet 1912
Fotografisch werk: fotografische werken zoals bedoeld in artikel 10
lid 1 sub 9 Aw, dan wel andere werken in de zin van de Aw, welke
met bedoelde fotografische werken op één lijn kunnen worden
gesteld.
Beelddrager: de drager waarop een Fotografisch werk (al dan niet
met het oog herkenbaar) is vastgelegd, zoals een dia, negatief,
afdruk, duplicaat, polaroid, CD-rom, DVD of memory stick.
Fotograaf: de gebruiker in de zin van art. 6:231 BW.
Wederpartij: de wederpartij in de zin van art. 6:231 BW.
Gebruik: verveelvoudiging en/of openbaarmaking in de zin van
artikel 1 jo 12 en 13 Aw.
2. Toepassing
Deze Algemene Voorwaarden zijn van toepassing op alle
rechtsbetrekkingen tussen een Fotograaf en een Wederpartij,
inclusief offertes, opdrachtbevestigingen en mondelinge of
schriftelijke overeenkomsten, ook na het beëindigen van een
overeenkomst, tenzij partijen schriftelijk en uitdrukkelijk van deze
voorwaarden zijn afgeweken.
3. Offerte
Offertes zijn geheel vrijblijvend, tenzij uitdrukkelijk anders is
vermeld. De Fotograaf heeft het recht om tot twee werkdagen na
ontvangst van de aanvaarding van zijn aanbod dit aanbod te
herroepen. De offerte verplicht niet tot levering van een deel van de
prestatie tegen een proportionele prijs.
4. Vergoeding
4.1 Indien partijen geen vergoeding zijn overeengekomen, is de door
de Fotograaf gebruikelijk gehanteerde vergoeding van toepassing.
4.2 Indien en voor zover niet van een gebruikelijk gehanteerde
vergoeding kan worden gesproken, zal de Fotograaf naar
redelijkheid en billijkheid de vergoeding nader bepalen, waarbij de
Fotograaf onder meer zal kunnen aanknopen bij (i) de in de markt
gangbare vergoedingen voor vergelijkbare opdrachten, tussen
vergelijkbare opdrachtgevers en vergelijkbare opdrachtnemers,
waarbij verwezen kan worden naar vergoedingen zoals door
collega's van de Fotograaf in rekening gebracht, (ii) hetgeen in
voorgaande gevallen rechtens als redelijk en billijk is bestempeld,
(iii) vergelijkende vergoedingen zoals die in omringende landen
door fotografen in rekening worden gebracht en (iv) de omvang en
reikwijdte van het door de Wederpartij gewenste gebruik van het
werk.
4.3 Indien aannemelijk is dat de Fotograaf hogere kosten heeft
gemaakt en/of meerwerk heeft verricht, welke redelijkerwijs
noodzakelijk waren, komen ook deze kosten en/of dit meerwerk
voor vergoeding door de Wederpartij in aanmerking.
5. Factuur en betaling
5.1 De Wederpartij zal de factuur van de Fotograaf op onjuistheden
controleren. Indien de Wederpartij niet binnen tien werkdagen na
factuurdatum schriftelijk de factuur met opgave van rechtens
relevante redenen heeft afgewezen en aan de Fotograaf heeft
geretourneerd, zal de betrokken factuur als bindend tussen partijen
hebben te gelden en vervalt enig recht van de Wederpartij op
reclamatie.
5.2 Betaling dient te geschieden binnen dertig dagen na
factuurdatum.
5.3 De Wederpartij verricht de aan de Fotograaf verschuldigde
betalingen zonder korting of beroep op compensatie, behoudens
verrekening met tussen partijen erkend verrekenbare voorschotten,
die hij aan de Fotograaf heeft verstrekt.
5.4 Indien de Fotograaf het verschuldigde bedrag niet binnen de in
5.2 bedoelde termijn heeft ontvangen, is de Wederpartij in verzuim
en derhalve de wettelijke rente verschuldigd, te vermeerderen met
2%.
5.5 Indien de Wederpartij in verzuim is of op andere wijze tekort
geschoten in de nakoming van één of meer van zijn verplichtingen,
een inbreuk op auteursrecht daaronder begrepen, dan komen alle
kosten ter verkrijging van voldoening in en buiten rechte voor zijn
rekening.
5.6 Geen enkel gebruik van het Fotografisch werk op welke wijze
dan ook is toegestaan, zolang de Wederpartij enige uitstaande
factuur van de Fotograaf nog niet heeft voldaan of anderszins nog
niet geheel heeft voldaan aan enigerlei verplichting voortvloeiende
uit welke overeenkomst met de Fotograaf dan ook.
6. Controle
6.1 Indien de vergoeding op enige wijze afhankelijk is gesteld van
feiten of omstandigheden, die moeten blijken uit de administratie
van de Wederpartij, heeft de fotograaf na een opgave van de
opdrachtgever het recht om de administratie van de opdrachtgever te
controleren door een door de fotograaf aan te wijzen RA/AA
accountant.
6.2 In het geval dat de uitkomst van de controle meer dan 2%
afwijkt van de opgave en afrekening van de Wederpartij dan komen
de kosten van de controle volledig voor rekening van de
Wederpartij. Bovendien zal de Wederpartij alsdan de op basis van
de daadwerkelijke gegevens verschuldigde vergoeding, na
facturering aan de Fotograaf voldoen.
7. Bewijsexemplaar
Bij openbaarmaking van een Fotografisch werk dient de Wederpartij
terstond en zonder kostenberekening een bewijsexemplaar van de
publicatie aan de Fotograaf te doen toekomen.
8. Levering
8.1 Beelddragers worden geleverd in het pand waar de Fotograaf
zijn bedrijf uitoefent. Verzonden Beelddragers zijn vanaf het
moment van verzending voor risico van de Wederpartij tot het
moment dat de Beelddragers door de Fotograaf onbeschadigd retour
zijn ontvangen.
8.2 Digitale bestanden met Fotografische werken worden geleverd
in goed overleg en op een door beide partijen overeengekomen
wijze en zijn vanaf het moment van verzending voor risico van de
Wederpartij.
8.3 Indien geen levertijd is overeengekomen, wordt die in
redelijkheid door de Fotograaf vastgesteld.
8.4 Indien de Fotograaf en de Wederpartij overeenkomen dat de
levertijd wordt vervroegd, heeft de Fotograaf het recht de
oorspronkelijk overeengekomen vergoeding met tenminste 50% te
verhogen.
8.5 Elke levering, ook een levering van een onderdeel van een
samengestelde opdracht, kan afzonderlijk worden gefactureerd
indien een onderdeel van een samengestelde opdracht afzonderlijk
van waarde is.
9. Klachten
Klachten inzake het geleverde werk dienen zo spoedig mogelijk,
doch in ieder geval binnen tien werkdagen na levering van de
Fotografische werken schriftelijk aan de Fotograaf te worden
medegedeeld. De Fotograaf heeft het recht binnen redelijke termijn
alsnog goed werk voor afgekeurd werk te leveren, tenzij dit tot
onevenredige schade voor de Wederpartij zou leiden.
10. Bezit/eigendom Beelddragers
10.1 Indien niet is overeengekomen dat Beelddragers in het bezit
van de Wederpartij blijven, heeft deze onverwijld na het
overeengekomen gebruik voor kosteloze retournering aan de
Fotograaf zorg te dragen. Het niet of niet tijdig nakomen van deze
verplichting leidt niet tot verlies van enig recht van de Fotograaf.
10.2 Indien Fotografische werken als digitaal bestand zijn
aangeleverd, zal de Wederpartij deze onverwijld na het
overeengekomen gebruik wissen en/of vernietigen en niet voor
hergebruik opslaan. Het niet of niet tijdig nakomen van deze
verplichting leidt niet tot verlies van enig recht van de Fotograaf.
10.3 Indien een Beelddrager niet binnen vier weken na de
overeengekomen termijn aan de Fotograaf is geretourneerd, wordt
hij als vermist beschouwd.
10.4 In geval van vermissing of beschadiging van een Beelddrager
is de Wederpartij gehouden de schade die de fotograaf hierdoor lijdt
te vergoeden.
10.5 Beelddragers blijven eigendom van de Fotograaf. De
Wederpartij heeft enkel recht op overdracht van de eigendom als dit
uitdrukkelijk is overeengekomen.
11. Zichtzendingen
11.1 Als zichtzending ter beschikking gestelde Beelddragers die niet
worden gebruikt, dienen door de Wederpartij binnen tien werkdagen
na ontvangst te worden geretourneerd.
11.2 Als zichtzending ontvangen digitale bestanden met
Fotografische werken die niet worden gebruikt, dienen door de
Wederpartij binnen tien werkdagen na ontvangst te worden gewist
dan wel vernietigd.
11.3 In het geval Beelddragers en/of digitale bestanden met
Fotografische werken langer worden behouden dan de
overeengekomen periode, is de Wederpartij gehouden de schade die
de Fotograaf hierdoor lijdt te vergoeden.
11.4 De Wederpartij is niet alleen verplicht tot tijdige retournering
van de origineel aan hem verzonden Beelddragers aan de Fotograaf,
maar hij zal ook geen enkel vervaardigd duplicaat in welke vorm
dan ook van de Beelddragers en/of ontvangen digitale bestanden
met Fotografische werken behouden en ieder zulk duplicaat meteen
(doen) vernietigen.
12. Herstelkosten
Indien de codering of andere aanduidingen achterop een
Beelddrager in het beheer van de Wederpartij onleesbaar zijn
geworden of zijn verdwenen, heeft de Fotograaf recht op vergoeding
van de herstelkosten door de Wederpartij. Hetzelfde geldt indien een
diapositief niet voor publicatie in aanmerking is gekomen maar wel
uit zijn omraming is gehaald.
13. Opdracht
13.1 Een opdrachtovereenkomst is een overeenkomst waarbij de
Fotograaf zich jegens de Wederpartij verbindt om Fotografische
werken te maken en/of te leveren.
13.2 Een opdrachtovereenkomst komt tot stand door aanvaarding
door de Wederpartij van de offerte van de Fotograaf. Deze
aanvaarding kan mede blijken uit het sturen door de Fotograaf aan
de Wederpartij van een schriftelijke opdrachtbevestiging die door de
Wederpartij aan zich wordt gehouden of bij gebreke daarvan, uit de
feitelijke wetenschap en gedogen van de Wederpartij van het
uitvoeren van werkzaamheden door de Fotograaf overeenkomstig de
offerte.
13.3 De Fotograaf heeft het recht om alles dat bij een
opdrachtovereenkomst niet uitdrukkelijk is omschreven naar eigen
technisch en creatief inzicht uit te voeren.
13.4 Wijzigingen in de opdracht door de Wederpartij om welke
reden dan ook en hangende de uitvoering van de
opdrachtovereenkomst, komen voor rekening van de Wederpartij en
zullen door de Fotograaf slechts worden uitgevoerd na aparte offerte
van meerkosten die door de Wederpartij voor akkoord is
ondertekend en aan de Fotograaf is geretourneerd.
13.5 In geval van annulering van een opdrachtovereenkomst door de
Wederpartij op welk moment dan ook en om welke reden dan ook,
heeft de Fotograaf recht op de overeengekomen vergoeding,
verminderd met de nog niet gemaakte kosten.
13.6 Tenzij uitdrukkelijk anders overeengekomen, is de Fotograaf
volledig vrij in de keuze van de toeleveranciers en derden met wie
de Fotograaf werkt om tot uitvoering van de opdrachtovereenkomst
te komen, inclusief modellen en stylisten.
14. Internet
14.1 In geval van overeengekomen gebruik op internet zal de
Wederpartij ervoor zorgdragen dat de afmetingen van het door haar
op internet afgebeelde Fotografische werk niet groter zijn dan 800
bij 600 pixels.
14.2 De Wederpartij zal van de Fotografische werken geen andere
kopieën maken – digitaal of anderszins – dan die welke strikt
noodzakelijk zijn voor het overeengekomen gebruik op internet. Na
afloop van het overeengekomen gebruik zal de gebruiker de
gebruikte (werk)kopie(ën) van het Fotografische werk wissen dan
wel vernietigen.
14.3 De Wederpartij zal de Fotograaf vrijelijk en kosteloos toegang
verstrekken tot ieder gedeelte van haar website waarop het
Fotografisch werk is afgebeeld. Indien hiertoe speciale
voorzieningen nodig zijn dan zal hij deze aan de Fotograaf
verstrekken.
15. Auteursrecht
Het auteursrecht op de Fotografische werken berust bij de Fotograaf.
16. Licentie
16.1 Toestemming voor gebruik van een Fotografisch werk door de
Wederpartij wordt uitsluitend schriftelijk en voorafgaand verleend
in de vorm van een licentie zoals die naar aard en omvang door de
Fotograaf is omschreven in de offerte en/of de opdrachtbevestiging
en/of de daarop toeziende factuur.
16.2 Indien omtrent de omvang van de licentie niets is bepaald,
geldt dat deze nimmer meer omvat dan het recht tot éénmalig
gebruik, in ongewijzigde vorm, ten behoeve van een doel, oplage en
wijze zoals partijen bij het aangaan van de overeenkomst conform
het begrip van de Fotograaf, hebben bedoeld.
16.3 Bij gebreke aan een specifiek overeengekomen wijze van
publicatie en/of omschreven doel en/of omschreven oplage worden
alleen die bevoegdheden geacht te zijn gegeven, die standaard zijn
opgenomen in de licentie dan wel, die uit de aard en strekking van
de overeenkomst noodzakelijkerwijs voortvloeien.
16.4 Indien door de Fotograaf toestemming is gegeven voor
elektronische of andere vormen van beeldmanipulatie kan het
resultaat pas worden gebruikt na diens uitdrukkelijke schriftelijke
goedkeuring.
17. Sublicenties
Tenzij anders overeengekomen, is de Wederpartij niet bevoegd om
sublicenties te verlenen aan derden.
18. Inbreuk op auteursrecht
18.1 Elk gebruik van een Fotografisch werk dat niet is
overeengekomen, wordt beschouwd als een inbreuk op het
auteursrecht van de Fotograaf.
18.2 Bij inbreuk komt de Fotograaf een vergoeding toe ter hoogte
van tenminste driemaal de door de Fotograaf gebruikelijk
gehanteerde licentievergoeding voor een dergelijke vorm van
gebruik, zonder enig recht te verliezen op vergoeding van overige
geleden schade (waaronder begrepen het recht op vergoeding van
alle directe en indirecte schade en alle daadwerkelijke gerechtelijke
en buitengerechtelijke kosten).
19. Naamsvermelding
19.1 De naam van de Fotograaf dient duidelijk bij een gebruikt
Fotografisch werk te worden vermeld, of met een verwijzing naar
het Fotografisch werk in de publicatie te worden opgenomen.
19.2 Bij niet-nakoming van deze voorwaarde komt de Fotograaf een
vergoeding toe van tenminste 100% van de door de Fotograaf
gebruikelijk gehanteerde licentievergoeding, zonder enig recht te
verliezen op vergoeding van overige geleden schade (waaronder het
recht op vergoeding van alle directe en indirecte schade en alle
daadwerkelijke gerechtelijke en buitengerechtelijke kosten).
19.3 Wanneer de Wederpartij schriftelijk toestemming heeft
verkregen het Fotografische werk te verveelvoudigen, in welke
vorm dan ook, is deze gehouden er zorg voor te dragen dat de naam
van de Fotograaf op deze reproducties wordt aangebracht. In het
geval van digitale/elektronische kopieën is de Wederpartij tevens
gehouden er zorg voor te dragen dat de volledige metadata - zoals ze
door de Fotograaf tot onderdeel van het digitale bestand zijn
gemaakt - behouden blijven; het gaat daarbij om informatie volgens
de EXIF, de IPTC, de XMP en de ICC standaards.
20. Persoonlijkheidsrechten
20.1 De Wederpartij neemt bij de verveelvoudiging en
openbaarmaking van een Fotografisch werk te allen tijde de
persoonlijkheidsrechten van de fotograaf conform artikel 25 lid 1
sub c en d Aw in acht.
20.2 Bij schending van bedoelde persoonlijkheidrechten komt de
Fotograaf een vergoeding toe van tenminste 100% van de door de
Fotograaf gebruikelijk gehanteerde licentievergoeding, zonder enig
recht te verliezen op vergoeding van overige geleden schade
(waaronder het recht op vergoeding van alle directe en indirecte
schade en alle daadwerkelijke gerechtelijke en buitengerechtelijke
kosten).
21. Rechten van derden
21.1 De Wederpartij die een Fotografisch werk openbaar maakt, is
met uitsluiting van anderen verantwoordelijk voor het verkrijgen
van toestemming van geportretteerden en/of andere rechthebbenden.
De Wederpartij vrijwaart de Fotograaf van alle aanspraken te dier
zake.
21.2 De Fotograaf is verplicht naar vermogen mee te werken aan het
opsporen van de in dit artikel bedoelde personen.
22. Aansprakelijkheid Fotograaf
De Fotograaf is niet aansprakelijk voor enige schade welke voor de
Wederpartij is ontstaan, tenzij er sprake is van grove schuld of opzet
aan de zijde van de Fotograaf of door hem ingeschakelde personen.
De aansprakelijkheid is in elk geval beperkt tot de hoogte van het
factuurbedrag, dan wel, indien en voor zover er sprake is van een
verzekerde schade, tot de hoogte van de onder de verzekering
feitelijk uitgekeerde somma.
23. Faillissement/surséance
Zowel de Fotograaf als de Wederpartij hebben het recht de
overeenkomst onmiddellijk te beëindigen in geval van faillissement
of surséance van betaling van de andere partij. In geval van
faillissement van de Wederpartij heeft de Fotograaf het recht de
verstrekte licentie te beëindigen, tenzij de gevolgen hiervan in strijd
met de redelijkheid en billijkheid zijn.
24. Rechts- en forumkeuze
24.1 Alle gevallen waarin deze Algemene Voorwaarden van
toepassing zijn, worden beheerst door Nederlands recht.
24.2 De toepasselijkheid van het Weens Koopverdrag 1980 (CISG)
is uitgesloten.
24.3 Ieder geschil met betrekking tot de tekst en uitleg van deze
Algemene Voorwaarden en een rechtsbetrekking tussen de
Fotograaf en de Wederpartij, zal worden voorgelegd aan de
bevoegde rechter in Nederland.
Deze Algemene Voorwaarden zijn gedeponeerd bij de Rechtbank
Amsterdam onder nummer [78/2005].

 

General Terms and Conditions of the FotografenFederatie (Photographers Federation of the
Netherlands)
dated 26 May 2005
1. Definitions applying to these General Terms and Conditions
Aw: Auteurswet 1912 [Dutch Copyright Act of 1912]
Photographic Work: photographic works as referred to in Article 10 section 1 subsection 9 Aw, or other
works covered by the Aw that can be equated with the said photographic works.
Image Carrier: the carrier on which a Photographic work (whether or not identifiable with the naked
eye) is recorded, such as a slide, negative, print, duplicate copy, Polaroid, CD-rom, DVD or memory
stick.
Photographer: the user as defined by Book 6, Article 231 of the Dutch Civil Code.
Other party: the other party as defined by Book 6, Article 231 of the Dutch Civil Code.
Usage: copying and/or publication as defined by Article 1 in conjunction with Articles 12 and 13 of the
Aw.
2. Application
These General Terms and Conditions apply to all legal relationships between a Photographer and
Other Party, including offers, confirmations of orders and oral or written agreements, even after the
termination of an agreement, unless the parties have explicitly deviated from these Terms and
Conditions in writing.
3. Offer
Offers are entirely free of obligation unless expressly stated otherwise. The Photographer has the right
to withdraw his offer up to two working days after receiving acceptance of this offer. The offer does not
oblige the Photographer to deliver part of the agreement in return for a proportionate price.
4. Price
4.1 If the parties have not agreed a price, then the Photographer shall charge his usual rate.
4.2 If and insofar as there is no usual rate, the Photographer shall fix the rate in a reasonable and fair
way, bearing in mind (i) the rates for similar commissions normally charged in the market between
similar customers and similar suppliers, with reference to rates charged by the Photographer’s
colleagues, (ii) what in past cases was by right regarded as reasonable and fair, (iii) comparable rates
charged by photographers in neighbouring countries, and (iv) the scope and extent of the desired
usage of the work by the Other Party.
4.3 If it is plausible that the Photographer had to spend more and/or had to carry out additional work
within reason, then these costs and/or additional work shall also be payable by the Other Party.
5. Invoice and payment
5.1 The Other Party shall check that the invoice of the Photographer is accurate. If the Other Party has
not rejected the invoice in writing and returned it to the Photographer within ten working days of its
date, providing legally relevant reasons for doing so, then the invoice shall be deemed to be binding
between the parties and the Other Party loses any right to put in a claim.
5.2 Payment shall be made within thirty days of the date of the invoice.
5.3 The Other Party shall pay the amount due to the Photographer without any reduction or claim to
compensation, except for the deduction of any advance payments agreed between the parties and
previously made to the Photographer.
5.4 If the Photographer has not received the amount due within the period specified in 5.2 above, the
Other Party is in breach and therefore liable for interest at the statutory rate plus 2%.
5.5 If the Other Party is in breach of any of its obligations under the agreement, including any
infringement of copyright, then it is liable for all judicial and extra-judicial costs incurred in seeking
compensation for the same.
5.6 Any use of the Photographic Work whatsoever is prohibited until the Other Party has paid any
outstanding invoice of the Photographer or has otherwise complied with any other obligation arising
from any agreement whatsoever with the Photographer.
6. Audit
6.1 If the payment is dependent in any way on any facts or circumstances to be proven by the financial
records of the Other Party, then upon receiving such statement from the Other Party the Photographer
is entitled to have the financial records audited by any RA/AA accountant he may choose to appoint.
6.2 In the event that the results of the audit differ by more than 2% from the statement and payment by
the Other Party, then the auditor’s expenses shall be paid in full by the Other Party. The Other Party
shall then also pay to the Photographer the amount due on the basis of the correct information after
this has been invoiced.
7. Complimentary copy
Upon publication of a Photographic Work the Other Party should immediately and free of charge
provide the Photographer with a complimentary copy of the publication.
8. Delivery
8.1 Image Carriers shall be delivered in the premises in which the Photographer carries out his
business. From the moment they are sent out until the moment they are received back undamaged by
the Photographer, Image Carriers are at the risk of the Other Party.
8.2 Digital files containing Photographic Works shall be delivered following proper consultation and in
a manner agreed between both parties and are at the risk of the Other Party from the moment they are
sent.
8.3 In case no delivery time or date has been agreed, the Photographer shall decide a reasonable
period.
8.4 If the Photographer and the Other Party agree to fix the delivery at an earlier date, the
Photographer is entitled to increase the price originally agreed by at least 50%.
8.5 Every delivery, including the delivery of any part of a commission, may be invoiced separately if
any part of a commission can be valued separately.
9. Complaints
Complaints regarding the Photographic Work supplied should be reported to the Photographer in
writing as soon as possible, within a maximum of ten working days of its delivery. The Photographer
has the right to substitute the rejected work with good work within a reasonable period, unless this
would cause disproportionate damage to the Other Party.
10. Possession/ownership of Image Carriers
10.1 If there is no agreement that the Image Carriers remain in the possession of the Other Party, it
shall ensure that these are returned immediately after the agreed usage to the Photographer without
any cost for the Photographer. Doing so too late or not at all shall not result in the Photographer losing
any of his rights.
10.2 If Photographic Works have been delivered in digital form, the Other Party shall immediately
erase and/or destroy them following the agreed usage and not store them for re-usage. Doing so too
late or not at all shall not result in the Photographer losing any of his rights.
10.3 If an Image Carrier is not returned to the Photographer within four weeks after the agreed period,
it shall be regarded as missing.
10.4 In the event that an Image Carrier is missing or damaged, the Other Party shall compensate the
Photographer for his loss.
10.5 Image Carriers remain the property of the Photographer. The Other Party is only entitled to
acquire the ownership if this has been expressly agreed.
11. Submission on approval
11.1 Image Carriers submitted on approval which are not used should be returned by the Other Party
within ten working days after they were received.
11.2 Digital files of Photographic Works submitted on approval which are not used should be erased or
destroyed by the Other Party within ten working days after they were received.
11.3 In the event that Image Carriers and/or digital files containing Photographic Works are retained
beyond the agreed period, the Other Party shall compensate the Photographer for the damage he has
suffered as a result.
11.4 The Other Party is not only obliged to return in time to the Photographer the originally submitted
Image Carriers; he shall not copy and keep the Image Carriers in any form whatsoever, and/or keep
any digital files he received containing Photographic Works, and must immediately destroy any such
copy.
12. Repair costs
If the coding or any other information on an Image Carrier in the control of the Other Party has become
unreadable or has disappeared, the Photographer has the right to recover the repair costs from the
Other Party. The same applies if a slide has been removed from its frame, even though it has not been
published.
13. Commission
13.1 A commission contract is an agreement in which the Photographer undertakes to the Other Party
to make and/or supply Photographic Works.
13.2 A commission contract becomes binding when the offer of the Photographer is accepted by the
Other Party. This acceptance can be confirmed by a written confirmation sent by the Photographer to
the Other Party to be retained by the Other Party; or in the absence of the same, by the factual
knowledge and permission of the Other Party to the carrying out of the work by the Photographer in
accordance with the offer.
13.3 The Photographer is entitled to carry out every part of the commission contract not explicitly
described according to his own technical and creative judgment.
13.4 Changes to the commission by the Other Party for whatever reason and pending the carrying out
of the commission contract shall be at the expense of the Other Party. They will only be carried out by
the Photographer once a separate offer for the additional costs has been signed in agreement by the
Other Party, and returned to the Photographer.
13.5 In the event that a commission contract has been cancelled by the Other Party at whatever time
and for whatever reason, the Photographer is entitled to receive the agreed price, minus costs not yet
made.
13.6 Unless expressly agreed otherwise, the Photographer is at complete liberty to choose the
suppliers and third parties with whom he will work in order to carry out the commission contract,
including models and stylists.
14. Internet
14.1 In the event that the usage of Photographic Works on the Internet is agreed, the Other Party shall
ensure that the size of the Photographic Works shown does not exceed 800 by 600 pixels.
14.2 The Other Party shall not make any copies of the Photographic Works – digital or otherwise –
other than those that are strictly required for the agreed usage on the Internet. At the completion of the
agreed usage, the Other Party shall erase or destroy the used (working) copy(ies) of the Photographic
Works.
14.3 The Other Party shall provide the Photographer with unlimited access free of charge to each part
of its website on which the Photographic Work is reproduced. If special arrangements need to be
made to achieve this, then the Other Party will ensure these are made.
15. Copyright
Copyright of the Photographic Works is owned by the Photographer.
16. Licence
16.1 Use by the Other Party of a Photographic Work requires prior written consent in the form of a
licence the nature and scope of which is described by the Photographer in the offer and/or the
confirmation of the commission and/or the relevant invoice.
16.2 If the scope of the licence is not specified, it shall not extend beyond the right to one single use,
in original form and for a purpose, circulation and method as intended by the parties at the time they
enter into the agreement, in accordance with the interpretation of the Photographer.
16.3 In the absence of a specifically-agreed method of publication and/or described purpose and/or
described circulation, the only authority deemed to have been conferred is that which is included in the
licence as standard or which, given the nature and scope of the agreement, necessarily follows from
this.
16.4 If the Photographer has given permission for image manipulation, electronically or otherwise, the
result may only be used once explicit written consent has been obtained.
17. Sub-licences
Unless otherwise agreed, the Other Party is not entitled to grant sub-licences to a third party.
18. Infringement of copyright
18.1 Each unauthorized use of a Photographic Work is deemed to be an infringement of the
Photographer’s copyright.
18.2 Any infringement entitles the Photographer to claim compensation of at least three times the
licence fee usually charged by the Photographer for such type of use, without losing any right to claim
compensation of other damages (including the right to compensation of all direct and indirect damages
and all judicial and extra-judicial costs actually incurred).
19. Photographer’s credit
19.1 The name of the Photographer should be clearly credited alongside the Photographic Work used,
or included elsewhere in the publication with reference to the Photographic Work.
19.2 Failure to comply with this condition entitles the Photographer to claim compensation of at least
100% of the licence fee usually charged by the Photographer for such a type of use, without losing
any right to claim compensation of other damages (including the right to compensation for all direct
and indirect damages and all judicial and extra-judicial costs actually incurred).
19.3 If the Other Party has obtained written consent to reproduce in whatever form the Photographic
Work, it shall ensure that the name of the Photographer accompanies these reproductions. In the case
of digital/electronic copies, the Other Party shall also ensure that the entire metadata that was
included in the digital file by the Photographer – information according to the EXIF, IPTC, XMP and
ICC standards - shall be preserved.
20. Moral rights
20.1 The Other Party shall always respect the moral rights of the Photographer in accordance with
Article 25 (1)(c) and (d) Aw when reproducing or publishing a Photographic Work.
20.2 Any infringement of these moral rights entitles the Photographer to claim compensation of at least
100% of the licence fee usually charged by the Photographer for such a type of use, without losing
any right to claim compensation of other damages (including the right to compensation for all direct
and indirect damages and all judicial and extra-judicial costs actually incurred).
21. Third party rights
21.1 If the Other Party publishes a Photographic Work, it is solely responsible for obtaining the
consent of those persons depicted and/or other legally entitled parties. The Other Party indemnifies
the Photographer from all claims relating to the same.
21.2 The Photographer is obliged to cooperate in tracing the persons referred to in this article.
22. Liability of the Photographer
The Photographer is not liable for any loss suffered by the Other Party unless such loss is caused by
the gross negligence or deliberate act of the Photographer or any third party acting on his behalf. Any
liability is limited to the amount of the invoice or, if and insofar as damage is insured, up to the amount
of the sum actually paid out under the insurance policy.
23. Bankruptcy/moratorium
The Photographer and the Other Party are each entitled to terminate the agreement with immediate
effect if the other party becomes bankrupt or is granted a moratorium. In the event of the bankruptcy of
the Other Party, the Photographer has the right to terminate the licence, unless the consequences of
doing so would be in breach of the principles of reasonableness and fairness.
24. Choice of law and forum
24.1 All matters governed by these General Terms and Conditions are subject to Dutch law.
24.2 The Vienna Sales Convention 1980 (CISG) shall not apply.
24.3 Any dispute concerning the wording and explanation of these General Terms and Conditions and
a legal relationship between the Photographer and the Other Party shall be brought before the court
with relevant jurisdiction in the Netherlands.
